Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. Changes to the Terms

We may revise these Terms from time to time. We will provide notice of material changes (e.g., by email or through the Services). Changes are effective on the date indicated in the notice or, if no date is specified, when posted. Continued use of the Services constitutes acceptance of the revised Terms.

3. Description of Services

Opulence AI provides AI‑enabled software platforms, APIs, and related tools that help businesses automate workflows, generate marketing insights, and develop intelligent applications. Features may evolve over time, and Opulence AI reserves the right to modify or discontinue any feature at any time without liability.

4. Account Registration and Security

You may need to create an account to access certain Services. You agree to provide accurate, complete, and current information during registration and to keep it updated.

• You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• You must promptly notify us of any unauthorized use or security breach.

5. Fees and Payment

Some Services are offered for a fee. All fees are stated in U.S. dollars unless otherwise specified and are exclusive of taxes. You authorize Opulence AI (or its third‑party payment processor) to charge your payment method on a recurring basis, if applicable. Late payments may incur interest at 1.5% per month (or the maximum rate permitted by law).

6. Intellectual Property

• Our Content: The Services, including all software, code, text, graphics, photos, trademarks, and other materials ("Opulence AI Content"), are owned by Opulence AI or its licensors and are protected by intellectual‑property laws.
• No Implied License: Except as expressly granted in these Terms, we reserve all rights.

7. License to You

Subject to your compliance with these Terms, Opulence AI grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes.

8. Your Content

"User Content" means any data, text, images, or other materials that you upload, submit, or otherwise transmit to the Services.

• You retain all rights in your User Content, but you grant Opulence AI a worldwide, royalty‑free, sublicensable license to use, host, store, reproduce, modify, and display your User Content for the purpose of operating and improving the Services.
• You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate any law or infringe any third‑party rights.

9. Prohibited Conduct

You agree not to:

• Use the Services for any illegal, harmful, or fraudulent purpose;
• Reverse engineer, decompile, or attempt to extract source code from the Services;
• Interfere with or disrupt the integrity or performance of the Services;
• Bypass, disable, or circumvent any security or access control;
• Upload or transmit viruses, malware, or other malicious code;
• Copy, frame, or mirror any part of the Services without prior written consent.

10. Third‑Party Services & Links

The Services may contain links to third‑party websites or may integrate third‑party services. Opulence AI is not responsible for third‑party content, products, or services, and your use of them is at your own risk and subject to their terms.

11. Beta Features

We may offer beta or pre‑release features ("Beta Features"). Beta Features are provided "as is" without warranties of any kind and may be modified or discontinued at any time. We are not liable for any losses arising from Beta Features.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. OPULENCE AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPULENCE AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL OPULENCE AI'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OPULENCE AI IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Opulence AI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you violated these Terms. Upon termination, all licenses and rights granted to you will cease immediately.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington and the United States, without regard to conflict‑of‑laws principles.

• Arbitration: Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will be held in Seattle, Washington.
• Class Action Waiver: You and Opulence AI agree that any proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. International Users

Opulence AI is based in the United States. If you access the Services from outside the U.S., you are responsible for compliance with local laws.

18. Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of information as described therein.

19. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Opulence AI regarding the Services and supersede all prior agreements.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force.
• Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent; we may assign these Terms without restriction.
• Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control.

20. SMS/Text Messaging Terms

By providing your mobile phone number and opting in to receive text messages from Opulence AI, you consent to receive recurring automated SMS messages related to our services, including but not limited to Site Reporter daily work report prompts, account notifications, and service updates.

• Message Frequency: Message frequency varies. You may receive up to 1 message per business day depending on your service usage and preferences.
• Message & Data Rates: Standard message and data rates may apply. Please contact your mobile carrier for details about your messaging plan.
• Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any message. You will receive a confirmation message and will no longer receive SMS messages from us unless you re-subscribe.
• Help: Reply HELP to any message for assistance, or contact us at [email protected].
• Carrier Liability: Carriers are not liable for delayed or undelivered messages.
• Consent Not Required: Consent to receive SMS messages is not a condition of purchasing any goods or services from Opulence AI.

By opting in to SMS messages, you confirm that you are the owner or authorized user of the mobile device and phone number provided, and that you are authorized to approve the applicable charges.
